By accessing our website, communicating with our team, or placing an order for our industrial rollers, you (“the Buyer” or “Client”) agree to be bound by the following Terms and Conditions.

1. Custom Manufacturing & Specifications

Accuracy of Blueprints: As a provider of OEM/ODM services, we manufacture rollers based strictly on the technical drawings, blueprints, and specifications provided or approved by the Buyer. The Buyer is solely responsible for the accuracy of these documents.
Approval: Production will not commence until the Buyer has formally approved the final technical specifications and the Proforma Invoice (PI). We are not liable for any operational failures resulting from design flaws inherent in the Buyer’s provided blueprints.

2. Pricing and Payment Terms

Quotations: All quotes provided are valid for a specified period (typically 30 days) and are based on current material costs. We reserve the right to adjust pricing if material costs fluctuate significantly before an order is confirmed.
Payment Method: For international B2B orders, our standard payment terms are typically a T/T (Telegraphic Transfer) deposit (e.g., 30% or 50%) to initiate production, with the remaining balance due before shipment, unless otherwise negotiated and stated in the PI.
Taxes and Duties: Prices quoted generally exclude international shipping, customs duties, import taxes, and local handling fees at the destination port, which are the sole responsibility of the Buyer (unless a specific Incoterm like DDP is agreed upon).

3. Production Lead Times

Estimates: Lead times provided in our quotations are estimates based on current factory capacity and material availability. While we strive to meet all deadlines, these estimates are not legally binding guarantees.
Delays: We shall not be held liable for production or shipping delays caused by Force Majeure events, including but not limited to natural disasters, strikes, material shortages, or government restrictions.

4. Shipping, Delivery, and Risk of Loss

Incoterms: International shipments are governed by standard Incoterms 2020 (e.g., EXW, FOB, CIF). The specific Incoterm for your order will be detailed in the Proforma Invoice.
Risk Transfer: The risk of loss or damage to the goods passes to the Buyer according to the agreed Incoterm. We strongly recommend that Buyers purchase marine/cargo insurance for all international freight.

5. Warranties and Limitation of Liability

Product Warranty: We warrant that our industrial rollers will conform to the mutually agreed-upon specifications and will be free from manufacturing defects at the time of delivery.
Limitation: In no event shall Foshan Jingheng Machinery Manufacturing Co., Ltd. be liable for any indirect, incidental, special, or consequential damages (including but not limited to loss of profits, production downtime, or damage to other machinery) arising out of the use or inability to use our products. Our maximum liability shall strictly not exceed the purchase price of the specific defective roller(s).

6. Intellectual Property

Client Blueprints: Any technical drawings, blueprints, or proprietary designs supplied by the Buyer remain the strict property of the Buyer. We will use them solely for manufacturing your order.

7. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from these terms or international trade contracts shall be settled through friendly negotiation. If a settlement cannot be reached, the dispute shall be submitted to the relevant arbitration commission or courts in Foshan, China.
